This line:
x = Dir(PathName & "\*.*")

instructs the UDF to search for

C:\Documents and Settings\XlsFileSavedAsText.txt\*.*

Since xlsFileSavedAsText.txt is a file, not a folder with files in it - it
returns false. You could remove the & "\*.*" or try:
