Default linked formula

Hi,
I have a formula in a cell, '=COUNTIF
('G:\inter_pa\[pcolog28173.xls]log'!$M$10:$M$409,G1047).

If the source file is not open and I edit|links update it
returns #value!!! If I open the source it updates fine.
If I set it to update when the target file is opened, I
get #value.

any ideas???
