Default Excel 09 File containing macros is not opening

Excel 2009 on Windows XP.
I have trouble opening an xls file. When I try to open the file eihter from
folder or from FILE menu of MS Excel, I get Microsoft Security Alert message
box which prompts me to Enable or Disable Macros. I tried both options but
still unable to open this file. Please note that, by alt+F11, i noticed that
my file has macros. When i tried to open the file in macros explorer i was
prompted for a password. Needs your help if anybody encountered a similar
situation.

Hi,
