Count based on multiple conditions

Excel2003 ... I need to compare & count based on multiple conditions ...
WorkBook contains 2 WorkSheets (WS1 & WS2) ... Need Formula in WS2, Col H
that will:

Compare WS2 ... Cols B & C values
with values found in
WS1 ... Cols C & H

Count occs where WS2, Cols B & C values match WS1 Cols C & H values.
