Default how do i compare two excel spreadsheets to indicate differences

I am using excel 2000 and have two spreadsheets with company name address etc
.. I want to be able to put the two spreadsheets into one spreadsheet but be
able to see/have a column indicating the duplicates or be able to filter out
the duplicates.
