Default Array Formula Help

I'm working with MS Excel 2003. How would I create an array formula to meet
two different conditions from two different cell columns with one column
involving a date? For example, column A contains a list of letters--AAs and
ABs. Column B contains dates in the formats of 8/25/2006, 9/10/2006,
10/15/2006, ect. My objective is to create an array formula that will
count/provide the total number of times the cells in column A equal "AA" and
the cells in column B are less than or equal to 9/15/2006.
