Default UserForm with RefEdit Modality Issue

In help for xl2000, the refedit, it says, "you can not use a refedit control
on a modeless user form."

I suspect it says the same in xl2002. There are numerous posts in the
google groups archive for this group that confirm your experience.

I have a userform with a RefEdit Control on it that I want to display in
a non-modally. When I do this, the userform displays properly, but
after I select any area, the focus goes to the workbook, never to return
to the userform.

Excel freezes, for all intents and puposes, but I can still close using
Alt-F4. Any idea why this is? What's going on?

TIA,
Mark
