Default Excel 2010 workbook protection

In excel 2010, how can I best ensure that only 2 people in my team can amend a document and save over the existing file, while everyone else can still access the document but has no permissions to save over the file in the existing location?

I don't really want to use passwords. Is there any other way of doing this?
