It usually doesn't pop up by itself. You must be doing something to trigger
it.

Default Excel - Goal Seek

Does the dialog appear when you are dragging a point on a chart? Excel lets
you drag points to new X,Y values, and updates the source data in the
worksheet. If the data is dependent on formulas, Goal Seek pops up to give
you a chance to decide which formula inputs should change to get the new
chart values.
