I gave the named range a try and it didn't make a difference. The formula
does work correctly (I pasted it into the range of cells and it behaved
perfectly).

but you're right... I do *HOPE* they are still working on conditional
formatting. Seems like there is a bit more work to go.

Sounds to me like (at least I *HOPE*) that the Excel 2007 folks still
have a little work to do. Unless you have a range named as "C12".
