It sounds to me that the workbook is corrupted enough so that xl97 can't open
it.
If it were me, I'd open it in xl2002 and start recreating it from scratch.
There are commercial recovery services. I've never used it, but you might want
to check into:

But if you can still open it in xl2002, I'd spend my time there--not my money.

close excel
windows start button|Run
Excel /safe
then File|open the workbook
