Try the following array formula that needs to be confirmed with
CONTROL+SHIFT+ENTER, not just ENTER...

=MODE(IF((VendorRange="Vendor")*(PartNumRange="Par tNum"),PriceRange))

If parts numbers are numerical values and not text, remove the quotes.
