trying to populate certain filelds from one spreadsheet into another. One
of the fields in sheet 1 will state yes(sheet 1 C2)if the yes condition is
populated i wnat to bring the name and number of to sheet 2( sheet1 a2 and
b2) if the condition is populated with a no(sheet 1 C2) the formula should
check the next cell (sheet 1 C3)to see if the condition is met with a yes

How about an alternative?

Apply Data|Filter|autofilter to your range.
Filter by that yes/no columns to show just the yes's.

I find that life is much simpler if I can keep my data in one spot an apply
filters to see the data that I want to see.
