i have created a excel file with some code in it.... if i want to
distribute it so that the people can use the sheet, but no one should
be able to read the code. One way to do this is by going to project
properties and setting a password. But this wont protect the formulas
written in the sheet.
I have seen some sheets wherein a person can use the sheet but wont
know see any formula or code written in the sheet. Eg. file-new-
select LoanAmortization template(provided by microsoft) or any other

template. They do not have any code or formulas.. Please tell me how
to do that.

select your cell then choose menu:
FormatCells then choose 'Protection' tab on 'Format cells' dialog
then Check 'Hidden' and then Protect your sheet by:
ToolsProtectionProtect Sheet

But note that it's extraordinarily easy to bypass this protection -
