Default password protection popup

Hello.
I've created an xlt file with some code and forms in it.
It works fine.
Last thing I've done is to protect the code from viewing, by setting a
password for the project.
Now, whenever I close the xlt file, everything's fine;
but when, afterwards, I close excel, a dialog pops up asking for the
project password... many times... (6 I think).

Why?
I really can't think of a reason why...
I've searched the web with no luck... :(

p.s.: this happens with xls files based on that xlt, too.
p.p.s.: this happens on different versions of excel; I've created the
file using office 2002, and I've tested it on office 2000.
Same odd behaviour.
