if a userform is modal, you can't select out of the userform (for instance
you can't select on the worksheet). The userform retains the focus.

Hi Bruce:

A modal form is one that will not allow you to perform any other activity
within the application until it (the form) is dismissed. A modeless form can
float over your active worksheet while allowing you to work on the worksheet
at the same time.
