stop prompt to save on no changes made

I keep getting asked by excel to save even when i have just opened a document
and closed without making any changes. how do i stop this?
Note: This happens even when there are no formulas/functions or calc's in
the workbook like a to today() etc. Happens even when there is only text in
the excel sheet.

Are you opening an older workbook in a newer version of Excel?

Does the message read something like "this workbook was created in an earlier
version etc."
