Default How do I password protect cells in a spreadsheet created in Excel

How do I password protect a spreadsheet created in Excel 2003 for users of
Excel 97? I tried saving it as an Excel 2003 file - no good; I tried saving
it as an Excel 97 file - still no good. The Excel 97 users are not given the
password entry box. They are told the document is read-only. Your help will
be appreciated.
